Welcome to Praxis Interactive LLC.
These Terms of Service (“Terms”) govern your access to and use of the Praxis Interactive LLC website, applications, reader tools, author tools, AI-powered features, digital content marketplace, and related services (collectively, the “Platform”), operated by Praxis Interactive LLC (“Praxis Interactive LLC,” “we,” “us,” or “our”).
By accessing or using the Platform, creating an account, purchasing content, publishing content, or using any Praxis Interactive LLC feature, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.
If you are using the Platform on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms, and “you” includes that entity.
1. Overview of the Platform
Praxis Interactive LLC is a technology platform that enables authors to distribute digital reading content and enables readers to access, purchase, and interact with that content through digital tools, including AI-powered features.
Praxis Interactive LLC is not a publisher, literary agent, or professional advisor. Praxis Interactive LLC does not generally review, endorse, verify, or guarantee the accuracy, legality, quality, safety, or usefulness of content made available by authors or outputs generated by AI systems.
2. Eligibility and Accounts
You must be at least 18 years old, or the age of majority in your jurisdiction, whichever is greater, to create an account and use the Platform on your own behalf. If local law permits minors above a certain age to use the Platform with parental or guardian consent, such use is allowed only with valid consent and supervision as required by law.
You agree to provide accurate, current, and complete registration information and to keep that information up to date.
You are responsible for safeguarding your login credentials and for all activity occurring under your account. Account credentials are personal and non-transferable. You may not sell, lend, share, assign, or otherwise transfer your account to another person.
Each individual may maintain only one account unless Praxis Interactive LLC expressly permits otherwise. Praxis Interactive LLC may suspend, merge, or terminate duplicate or unauthorized accounts.
3. Privacy
Your use of the Platform is subject to the Praxis Interactive LLC Privacy Policy, which describes how Praxis Interactive LLC collects, uses, stores, and shares personal data.
4. Reader Terms
This Section 4 applies to users who access, purchase, read, or interact with content through the Platform as readers.
4.1 Digital Content Access
When you purchase or otherwise obtain access to a book or other digital content on Praxis Interactive LLC, you receive a limited, non-exclusive, non-transferable, revocable license to access that content through the Platform for your personal, non-commercial use, subject to these Terms.
You do not acquire ownership of the underlying intellectual property or content.
4.2 Content Restrictions
Except as expressly permitted by law or by Praxis Interactive LLC in writing, you may not:
- copy, reproduce, republish, distribute, transmit, sell, sublicense, lease, or make content available outside the Platform;
- circumvent or attempt to circumvent access controls, digital rights management tools, or technical protection measures;
- scrape, download, extract, index, or harvest content using bots, crawlers, scripts, or automated means;
- use content for model training, dataset creation, or other machine learning or AI development purposes;
- modify, adapt, translate, or create derivative works from content except as functionality explicitly made available within the Platform.
4.3 Purchases and Payments
Prices for books, subscriptions, and other paid features are shown at the point of sale. By making a purchase, you authorize Praxis Interactive LLC or its third-party payment processor to charge the applicable amount, including taxes and fees where required.
Payments are processed by third-party payment providers. Praxis Interactive LLC does not store full payment card details.
4.4 Access Continuity
Praxis Interactive LLC will use commercially reasonable efforts to maintain access to purchased content. If content is removed from the Platform, Praxis Interactive LLC may provide notice to affected readers where feasible.
If an author voluntarily removes a book, Praxis Interactive LLC may continue honoring existing reader access for a limited wind-down period. Praxis Interactive LLC does not guarantee perpetual availability of any specific title or feature.
4.5 Refunds
Because digital content is typically made available immediately upon purchase, refunds may be limited. Praxis Interactive LLC may issue refunds in appropriate circumstances, including technical access failures, duplicate purchases, confirmed unauthorized transactions, or where required by applicable law.
Nothing in these Terms limits any non-waivable statutory rights you may have under applicable consumer protection law.
4.6 Subscriptions and Auto-Renewal
Praxis Interactive LLC may offer subscription plans with recurring billing. Where a subscription renews automatically, Praxis Interactive LLC will disclose the renewal terms, billing frequency, price, and cancellation method before you subscribe.
You authorize recurring charges until you cancel. You may cancel at any time through your account settings or other cancellation method made available by Praxis Interactive LLC. Unless otherwise stated, cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law.
Praxis Interactive LLC may change subscription pricing or features on prospective notice. If we materially increase the price of a subscription, we will provide advance notice before the new price takes effect.
4.7 Live Sessions and Recordings
Praxis Interactive LLC may offer live sessions, webinars, chats, and related interactive events hosted by authors or other authorized users. A live session may capture or display your account name, profile information, chat messages, reactions, attendance, camera, microphone, screen share, or other material you choose to provide. Some sessions may be recorded, stored, replayed, or made available after the live event.
By participating and submitting content to a live session, you grant Praxis Interactive LLC the license described in Section 6 to transmit, record, store, reproduce, display, and make that content available as necessary to provide the live session and any disclosed recording or replay. You remain responsible for the content you share and for obtaining any permissions needed for people, music, images, presentations, or other material included in your contribution.
You may not independently record, copy, or redistribute a live session or another participant's contribution without the permissions required by law and the rights holder. Praxis Interactive LLC or the host may mute, remove, restrict, or report participants or content to protect users, enforce these Terms, or operate the session safely.
5. AI Features and Generated Outputs
5.1 Nature of AI Tools
Praxis Interactive LLC may provide automated or AI-powered tools for readers and authors. These tools may include conversational reading features, summaries, question answering, prompts, comprehension support, ebook conversion and formatting, translation, text-to-speech and audiobook generation, voice cloning and pronunciation tools, metadata assistance, and generation of marketing text, images, audio, or video.
AI tools are assistive technology. They are not a substitute for legal, medical, financial, therapeutic, educational, editorial, translation, linguistic, accessibility, audio-production, or other professional advice or quality assurance.
5.2 AI Limitations
AI-generated or automated output may contain errors, omissions, inaccuracies, fabrications, formatting defects, mistranslations, unexpected interpretations, inconsistent terminology, mispronunciations, or other quality issues. Results may vary by language, region, source material, model, provider, settings, and context.
Praxis Interactive LLC does not guarantee that generated output will be accurate, complete, reliable, unique, copyrightable, non-infringing, suitable for a particular audience or jurisdiction, or fit for publication, sale, export, distribution, or any other purpose. You are responsible for evaluating and verifying output before relying on or using it.
5.3 Attribution
AI-generated responses are generated by automated systems. Unless Praxis Interactive LLC expressly states otherwise, they do not represent the views, statements, review, or endorsement of the relevant author.
Authors are responsible for determining whether applicable law, platform rules, industry standards, or distribution channels require disclosure that content was generated or materially modified using AI.
5.4 AI Input Warning
You should not submit sensitive personal information into Praxis Interactive LLC AI features, including health information, financial account details, government identification numbers, or other highly sensitive data.
5.5 AI Interaction Data
Praxis Interactive LLC may record and store AI interactions and process author-provided source material, prompts, instructions, voice or audio data, and generated outputs to provide the service, improve product functionality, enforce policies, maintain safety, and support the purposes described in the Privacy Policy. By default, Praxis Interactive LLC does not share raw AI conversation transcripts with authors.
6. Reader Content and User-Generated Content
You may create or submit highlights, annotations, reviews, comments, prompt responses, AI conversations, and other content through the Platform (“Reader Content”).
You retain ownership of your Reader Content, but you grant Praxis Interactive LLC a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, process, analyze, aggregate, anonymize, adapt for technical purposes, and otherwise use Reader Content as necessary to operate the Platform, improve services, generate aggregated insights, enforce policies, and develop Platform features.
Praxis Interactive LLC will not publicly disclose your individual Reader Content or share identifiable Reader Content with authors except as described in the Privacy Policy, as necessary to operate the service, or with your consent.
You represent that you have the rights necessary to submit Reader Content and that your Reader Content does not violate law or infringe third-party rights.
7. Author Terms
This Section 7 applies to users who upload, publish, distribute, or monetize content through the Platform as authors.
7.1 Relationship to Praxis Interactive LLC
You and Praxis Interactive LLC are independent parties. Nothing in these Terms creates an employment, agency, partnership, joint venture, franchise, fiduciary, or similar relationship between you and Praxis Interactive LLC. You have no authority to bind Praxis Interactive LLC or represent that you are acting on behalf of Praxis Interactive LLC.
7.2 Ownership of Author Content
You retain ownership of your books, manuscripts, text, uploaded EPUB or DOCX files, images, cover art, metadata, voice recordings, pronunciation instructions, prompts, and other content you upload or submit to the Platform (“Author Content”), except for the limited rights you grant under these Terms.
7.3 License to Praxis Interactive LLC
You grant Praxis Interactive LLC a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, transmit, index, parse, reformat, excerpt as necessary for previews, and otherwise make Author Content available through the Platform.
You also grant Praxis Interactive LLC a non-exclusive, worldwide, royalty-free license to use your name, pen name, likeness, book title, book description, cover image, and reasonable excerpts for promotional and marketing purposes related to the Platform.
You further grant Praxis Interactive LLC a non-exclusive license to process Author Content through automated and AI systems to provide features you request or configure, including file conversion and formatting, translation, summaries, question answering, reflection prompts, reader tools, text-to-speech, audiobook and voice features, metadata assistance, and marketing-content generation. This license includes the right to create, store, deliver, and make available outputs derived from Author Content as necessary to operate those features and honor your publication and distribution settings.
Praxis Interactive LLC will not use your Author Content to train general-purpose AI models outside the Praxis Interactive LLC Platform without your separate affirmative consent.
All licenses granted under this Section terminate when your content is removed from the Platform or your account is terminated, except for archival copies retained for legal, compliance, backup, dispute-resolution, or security purposes, and except for previously distributed promotional materials and previously completed reader transactions during any applicable wind-down period.
7.4 Author Representations and Warranties
By uploading or publishing Author Content, you represent and warrant that:
- you own the Author Content or have all rights, permissions, licenses, and consents needed to publish it and grant the rights described in these Terms;
- if the Author Content includes co-authors, ghostwriters, editors, photographers, illustrators, translators, narrators, voice performers, identifiable persons, excerpts, or other third-party material, you have obtained all necessary permissions, licenses, consents, and releases;
- the Author Content does not infringe, misappropriate, or violate any copyright, trademark, trade secret, privacy, publicity, contract, or other right of any person or entity;
- the Author Content complies with applicable law;
- factual claims in the Author Content are accurate to the best of your knowledge where accuracy is material;
- the Author Content does not contain malware, malicious code, or harmful files;
- if the Author Content has been previously published or distributed elsewhere, including through a publisher, agency, or distributor, you hold the digital distribution rights necessary to publish it on Praxis Interactive LLC and doing so does not violate another agreement.
7.5 Source Material and Generated Outputs
The quality and accuracy of ebooks, translations, audiobooks, and other generated outputs depend on the Author Content and instructions you provide. Uploaded EPUB, DOCX, text, image, metadata, or other source material may contain typographical errors, malformed characters, missing content, structural defects, unsupported formatting, incorrect pronunciation cues, or other issues. Automated processing may preserve, reproduce, amplify, or introduce visible or audible issues, and Praxis Interactive LLC is not responsible for defects originating in author-provided source material.
Translation is an AI-assisted generation service, not professional translation, localization, or linguistic quality assurance. Meaning, tone, terminology, dialect, cultural context, regional usage, formatting, and pronunciation may vary or be inaccurate. This applies to every generated language version and does not reduce your responsibility to review the original English or other source-language version.
Audiobook and voice features may generate speech with incorrect pronunciation, emphasis, pacing, timing, synchronization, tone, or audio quality. Praxis Interactive LLC does not routinely listen to, proof, or quality-check each generated audiobook. You are responsible for reviewing the selected or cloned voice, pronunciation, pacing, synchronization, and final audio before publication or distribution.
You may use voice cloning or voice-based generation only when you own the voice recording or have the documented authority and consent necessary to record, clone, synthesize, and use that voice for the intended purpose. You may not use these features to impersonate another person, deceive users, or violate privacy, publicity, intellectual-property, contractual, or other rights.
7.6 Author Review and Approval
You are solely responsible for reviewing, correcting, and approving Author Content and generated outputs before you publish, sell, export, distribute, promote, or otherwise use them. This responsibility includes the original or source-language ebook, every translated ebook, every source-language or translated audiobook, and generated metadata or marketing text, images, audio, and video.
Praxis Interactive LLC does not routinely proofread ebooks, compare translations against source manuscripts, listen to complete audiobooks, clear third-party rights, or provide editorial, translation, linguistic, legal, or production approval. Your decision to publish or distribute an output represents your approval of that output and your determination that it is accurate, lawful, and suitable for its intended use.
7.7 Optional Professional Review Services
Praxis Interactive LLC may separately offer access to editors, translators, narrators, linguistic reviewers, or other professionals through the Praxis Marketplace. Professional review or quality assurance is not included in automated generation features unless it is expressly identified and purchased as a separate service. Marketplace professionals are independent providers unless Praxis Interactive LLC expressly states otherwise.
7.8 Anthologies and Contributors
If you create or manage an anthology, compilation, or other multi-contributor book, the publishing author remains responsible for the book record, source files, publication settings, contributor list, and compliance with these Terms. The publishing author represents that they have authority to identify, invite, credit, publish, remove, and update contributors and their material.
Invited platform contributors must accept the collaboration before receiving platform attribution or any revenue allocation made available through the Platform. External credited contributors may not receive a platform account, access, or payment. Contributor roles, permissions, and revenue allocations are limited to those shown in the applicable interface or commercial terms. Unless otherwise stated, contributor changes apply prospectively and do not recalculate completed transactions.
Praxis Interactive LLC does not determine ownership among contributors, negotiate contributor agreements, resolve royalty or credit disputes, or guarantee payment outside amounts recorded and payable under Platform terms. The publishing author and contributors are responsible for their agreements, taxes, permissions, attribution, and allocation disputes.
7.9 Author-Hosted Live Sessions
Authors who host live sessions are responsible for their presentations, statements, guests, featured materials, promotions, and compliance with applicable recording, privacy, publicity, advertising, and intellectual-property requirements. Authors must provide any notices and obtain any permissions required for recording or distributing participant or guest contributions.
You authorize Praxis Interactive LLC and its service providers to transmit, record, store, process, display, and deliver your hosted session and its recording according to the settings and features you use. Ending or deleting a session may not automatically delete a separately stored recording; recordings must be removed using the controls made available for that purpose. Praxis Interactive LLC does not guarantee uninterrupted broadcasts, complete recordings, or permanent recording availability.
7.10 Revenue Share and Author Payments
Where Praxis Interactive LLC offers paid distribution or monetization, the applicable revenue share, fees, payment timing, and payout thresholds will be disclosed to you through the publishing interface, author dashboard, or related commercial materials incorporated into these Terms by reference.
Unless otherwise stated, Praxis Interactive LLC may deduct payment processing fees, refunds, chargebacks, taxes it is required to withhold, and other disclosed fees before calculating net amounts payable.
Praxis Interactive LLC may withhold or delay payouts where reasonably necessary to investigate fraud, abuse, policy violations, chargebacks, ownership disputes, or legal claims.
You are solely responsible for taxes associated with payments you receive from Praxis Interactive LLC. You must provide accurate tax documentation requested by Praxis Interactive LLC before payouts are made where required by law.
7.11 Content Removal and Takedown
You may remove your content from the Platform, subject to completion of pending transactions and any limited reader access wind-down period that Praxis Interactive LLC applies to previously purchased content.
Praxis Interactive LLC may remove, disable, suspend, or restrict access to Author Content if Praxis Interactive LLC reasonably believes that the content:
- violates these Terms or an incorporated policy;
- is the subject of a copyright complaint, court order, or other legal claim;
- creates legal, security, operational, or reputational risk for Praxis Interactive LLC or users;
- contains harmful, deceptive, or unlawful material.
Where feasible, Praxis Interactive LLC will provide notice before removal, but Praxis Interactive LLC may act immediately when necessary to address legal exposure, user harm, or urgent operational risk.
7.12 Author Access to Reader and Purchaser Data
Authors may receive aggregated or de-identified engagement insights. For paid purchases, free claims, direct inquiries, applications, or other features that create a reader-author relationship, Praxis Interactive LLC may also provide the relevant author with transaction details and limited identity or contact information as described in the Privacy Policy and the applicable interface.
Authors may use reader or purchaser data only to fulfill the applicable transaction, provide support, administer the reader-author relationship, and send communications or marketing where permitted by law and the reader's choices. Authors must maintain appropriate safeguards, honor opt-outs and deletion requests where applicable, and comply with privacy, consumer-protection, electronic-communications, and anti-spam laws.
Authors may not sell or rent reader data, disclose it to unrelated parties, combine it with unlawfully obtained data, use it for discriminatory or sensitive profiling, attempt to re-identify de-identified analytics, or use it for unrelated external advertising or enrichment. When an author connects a CRM or other third-party integration, the author directs that transfer and is responsible for the integration's configuration, security, permissions, notices, and downstream use of the data.
7.13 Author Services Outside the Platform
If Praxis Interactive LLC allows authors to promote or offer off-platform services, events, coaching, communities, or other offerings (“Author Services”), those Author Services are offered solely by the author. Praxis Interactive LLC is not the merchant of record, payment intermediary, escrow provider, service guarantor, or service provider for Author Services unless Praxis Interactive LLC expressly states otherwise. Authors are solely responsible for the legality, delivery, pricing, licensing, marketing, refund handling, and quality of Author Services.
7.14 Landing Pages, Domains, Tracking, and Integrations
Authors are responsible for content, links, claims, testimonials, media, offers, and disclosures on their book landing pages and connected custom domains. Authors must have authority to use any configured domain name and must not use a domain, redirect, or link in a misleading, infringing, malicious, or unlawful way.
If you configure analytics, advertising pixels, CRM connections, webhooks, or other integrations, you are responsible for using them lawfully, providing required notices, obtaining required consent, honoring user choices, and complying with the third party's terms. You may not bypass Praxis Interactive LLC consent controls or use integrations to collect, disclose, or combine data in a manner prohibited by these Terms or the Privacy Policy. Praxis Interactive LLC is not responsible for an author's configuration or a third party's independent availability, security, or data practices.
7.15 ISBN and External Metadata
Praxis Interactive LLC may retrieve bibliographic or book metadata from external sources using an ISBN or other identifier. External metadata may be incomplete, outdated, inconsistent, or associated with a different edition. You are responsible for verifying titles, contributors, descriptions, identifiers, publication details, images, and other metadata before saving, publishing, or distributing it. Praxis Interactive LLC does not guarantee the accuracy, ownership, availability, or suitability of third-party metadata.
8. Acceptable Use
You may not use the Platform to:
- violate law or infringe the rights of others;
- upload or distribute infringing, defamatory, fraudulent, deceptive, harassing, hateful, obscene, or unlawful material;
- exploit, harm, or attempt to exploit minors;
- transmit malware, malicious code, or harmful content;
- interfere with or disrupt the Platform, its infrastructure, or other users;
- scrape, harvest, crawl, mirror, or systematically extract Platform data or content;
- impersonate another person or misrepresent affiliation;
- engage in spam, manipulation, review fraud, metric manipulation, or deceptive conduct;
- attempt unauthorized access to accounts, systems, or data;
- use the Platform or its content to train external AI or machine learning systems without express written permission;
- attempt to de-anonymize aggregated reader data or identify individual readers from analytical outputs.
Praxis Interactive LLC may investigate violations and take action including content removal, feature restriction, account suspension, account termination, referral to law enforcement, and other appropriate remedies.
9. Content Moderation and Appeals
Praxis Interactive LLC may moderate content and user activity for compliance with these Terms and related policies. Where appropriate, Praxis Interactive LLC may notify you of moderation actions and the reason for those actions. Users may appeal certain moderation or account decisions through the support channels made available by Praxis Interactive LLC. Praxis Interactive LLC may review appeals internally and may affirm, reverse, or modify the original action. Praxis Interactive LLC is not obligated to host, retain, or restore any content, account, or feature access.
10. Intellectual Property
The Platform, including its software, interface design, branding, trademarks, logos, features, compilations, and non-user content, is owned by Praxis Interactive LLC or its licensors and is protected by intellectual property and other applicable laws. Except for the limited rights expressly granted in these Terms, no right, title, or interest in the Platform or Praxis Interactive LLC intellectual property is transferred to you.
11. Copyright Complaints
Praxis Interactive LLC responds to notices of alleged copyright infringement in accordance with applicable law and its copyright policy. If you believe content on the Platform infringes your copyright, you may submit a notice in accordance with the Praxis Interactive LLC copyright policy. If Praxis Interactive LLC removes content in response to a claim, Praxis Interactive LLC may provide the affected user an opportunity to submit a counter-notice where permitted by law. Praxis Interactive LLC may terminate accounts of repeat infringers in appropriate circumstances.
12. Third-Party Services
The Platform may integrate with or rely on third-party services, including payment processors, hosting providers, analytics vendors, AI providers, and customer support tools. Praxis Interactive LLC is not responsible for third-party services, their availability, security, content, or privacy practices. Your use of third-party services may be governed by separate terms.
13. Suspension and Termination
You may stop using the Platform at any time. You may also terminate your account through available account settings or by contacting Praxis Interactive LLC support.
Praxis Interactive LLC may suspend, restrict, or terminate your access to the Platform or any portion of it at any time if Praxis Interactive LLC reasonably believes you have violated these Terms, created risk or liability, engaged in fraud or abuse, infringed rights, failed to pay applicable fees, or otherwise used the Platform in a harmful or prohibited way.
Praxis Interactive LLC may also discontinue the Platform or any feature at any time.
Upon termination, rights granted to you under these Terms end immediately, except that provisions which by their nature should survive will survive, including provisions relating to intellectual property, payment obligations, indemnification, disclaimers, limitations of liability, dispute resolution, and other accrued rights and obligations.
14. Disclaimers
THE PLATFORM, ALL CONTENT, AND ALL FEATURES, INCLUDING AI FEATURES, ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAXIS INTERACTIVE LLC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AND FREEDOM FROM VIRUSES OR HARMFUL CODE.
PRAXIS INTERACTIVE LLC DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, OR THAT CONTENT OR AI OUTPUT WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR ANY PURPOSE.
PRAXIS INTERACTIVE LLC IS A TECHNOLOGY PLATFORM. PRAXIS INTERACTIVE LLC DOES NOT GUARANTEE THE ACCURACY, QUALITY, SAFETY, LEGALITY, OR USEFULNESS OF AUTHOR CONTENT, READER CONTENT, AUTHOR SERVICES, OR AI OUTPUTS.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRAXIS INTERACTIVE LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR REPUTATION, ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF PRAXIS INTERACTIVE LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
THE TOTAL AMOUNT YOU PAID TO PRAXIS INTERACTIVE LLC IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
ONE HUNDRED U.S. DOLLARS (US$100).
IF YOU ARE AN AUTHOR SEEKING RECOVERY BASED ON PAYMENTS OWED TO YOU BY PRAXIS INTERACTIVE LLC, PRAXIS INTERACTIVE LLC'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE TO YOU BY PRAXIS INTERACTIVE LLC IN THE TWELVE MONTHS PRECEDING THE CLAIM, EXCEPT TO THE EXTENT A DIFFERENT LIMIT IS REQUIRED BY LAW.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR ANY LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
16. Indemnification
You agree to indemnify, defend, and hold harmless Praxis Interactive LLC and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, actions, liabilities, damages, losses, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
- Your use of the Platform;
- Your Reader Content, Author Content, or Author Services;
- Your violation of these Terms or any incorporated policy;
- Your violation of law;
- Your infringement or alleged infringement of any third-party right.
Praxis Interactive LLC reserves the right to assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with Praxis Interactive LLC in defending it.
17. Dispute Resolution
17.1 Informal Resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting Praxis Interactive LLC through the support or legal contact channel made available on the Platform and describing the dispute in reasonable detail. Both parties will attempt good-faith resolution for at least 30 days before formal proceedings begin.
17.2 Arbitration for U.S. Users
If you reside in the United States, any dispute arising out of or relating to these Terms or the Platform that cannot be resolved informally will be resolved by binding individual arbitration administered by JAMS under its applicable rules, rather than in court, except as provided below.
17.3 Exceptions
Either party may bring an individual claim in small claims court if the matter qualifies. Either party may seek injunctive or equitable relief in court for intellectual property infringement, misuse of confidential information, unauthorized access, or similar urgent matters.
17.4 Class Action Waiver
To the maximum extent permitted by law, disputes must be brought only on an individual basis. Neither you nor Praxis Interactive LLC may participate in a class action, collective action, representative action, or private attorney general action.
17.5 Consumer Rights Override
If you are a consumer located in a jurisdiction where mandatory law does not allow binding pre-dispute arbitration, class action waivers, or the dispute framework above, then those provisions do not apply to you to the extent prohibited by applicable law.
18. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. If you are a consumer and mandatory law in your place of residence gives you the benefit of local consumer protections that cannot be waived by contract, those protections remain applicable.
19. Changes to the Terms
Praxis Interactive LLC may modify these Terms from time to time. If we make material changes, we will provide reasonable notice, such as by email, in-product notice, or posting updated Terms on the Platform. Unless otherwise stated, updated Terms become effective 30 days after notice. If you continue using the Platform after the effective date, you agree to the revised Terms. If you do not agree, you must stop using the Platform.
20. Assignment
Praxis Interactive LLC may assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, corporate reorganization, or sale of assets. You may not assign, transfer, delegate, or sublicense your rights or obligations under these Terms without Praxis Interactive LLC's prior written consent.
21. Force Majeure
Praxis Interactive LLC will not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including natural disasters, acts of war, terrorism, labor disputes, civil unrest, governmental actions, internet failures, utility failures, hosting failures, payment processor failures, or failures of third-party AI or infrastructure providers.
22. Severability
If any provision of these Terms is held unenforceable or invalid, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full force and effect.
23. Entire Agreement
These Terms, together with the Privacy Policy and any other policies or disclosures expressly incorporated by reference, constitute the entire agreement between you and Praxis Interactive LLC regarding the Platform and supersede prior or contemporaneous understandings relating to the Platform.
24. No Waiver
Failure by Praxis Interactive LLC to enforce any provision of these Terms is not a waiver of its right to do so later.
